Terms of Service

Please read these Terms carefully. They contain important limitations on our liability, a disclaimer that our service is research and not professional advice, and — where permitted by law — a dispute-resolution and class-action-waiver clause. By creating an account, generating a dossier, or purchasing, you agree to these Terms.

1. Definitions

"HaveTheIdea", "we", "us", "our" — the operator named in §16. "Service" — the HaveTheIdea website, application and any dossiers or outputs it produces. "Dossier" — an AI-generated business research document. "You", "your" — the person or entity using the Service.

2. Who we are & contact

3. Eligibility

You must be at least 16 to use the Service and at least 18 (or the age of majority where you live) to make a purchase. If you use the Service for an organisation, you confirm you are authorised to bind it. The Service is offered where it is lawful to do so; you are responsible for compliance with your local laws, and you must not use it if prohibited in your jurisdiction or if you are subject to applicable sanctions or export restrictions.

4. What we provide

HaveTheIdea generates AI-assisted business research documents based on the information you provide. A free sample (the first sections) is available; complete dossiers are one-time paid purchases. We continuously change, improve and remove features; we do not guarantee any specific feature will remain available.

5. Research, NOT professional advice — AI disclaimer

This is the most important section. Dossiers and all outputs are automatically generated research and educational material only. They are NOT legal, tax, accounting, financial, investment, medical or other professional advice, and no advisor–client, attorney–client, fiduciary or professional relationship of any kind is created between you and us.

The service uses artificial intelligence, which can be inaccurate, incomplete, out of date, or wrong. It can produce plausible-sounding but incorrect statements ("hallucinations"). Figures marked "(estimate)" are AI estimates, not verified facts.

You must independently verify anything important with a qualified, licensed professional in the relevant jurisdiction before relying on it or making any decision. You use the Service and act on its outputs entirely at your own risk. We do not warrant the accuracy, completeness, currency, legality or fitness of any output for any purpose.

6. Your account & security

Sign-in is by one-time email codes; you are responsible for maintaining access to and the security of your email account and for all activity under your account. One free sample per email address. Notify us promptly of any unauthorised use.

7. Acceptable use

You agree not to: (a) use the Service for unlawful, infringing, fraudulent or harmful purposes; (b) bypass or attempt to bypass rate limits, payment, authentication or security measures; (c) resell, sublicense or offer the Service or dossiers as your own service; (d) submit content you have no right to submit, or that is unlawful, infringing or contains third-party personal or sensitive data without a lawful basis; (e) attempt to extract, reverse-engineer or replicate our prompts, models, source code or systems; (f) use automated means to scrape or overload the Service; or (g) use outputs to provide regulated professional advice to third parties. We may suspend or terminate accounts that breach this section.

8. Payment, currency & taxes

Prices are shown at checkout in your selected currency and are processed by our payment provider, Stripe. We do not receive or store your full card details. A purchase entitles you to one dossier generation for the selected plan; if generation fails, your credit is automatically preserved for a retry. Prices may be shown exclusive or inclusive of tax depending on your location; any applicable VAT, GST or sales tax will be calculated and added at checkout where we are required to collect it. You are responsible for any taxes, duties or charges arising from your own use, business or jurisdiction that we are not required to collect. Refunds are governed by our Refund Policy.

9. Intellectual property

You keep all rights to the idea and information you submit. As between you and us, you own the generated dossier and may use it for any lawful purpose, including commercially. You grant us a limited, worldwide, royalty-free licence to process your inputs solely to operate and improve the Service. We (and our licensors) own the Service, software, design, prompts, and all related intellectual property; nothing here transfers those rights to you. We may use anonymised, aggregated statistics that do not identify you or reveal your idea text.

10. Third-party services

The Service relies on third parties including Stripe (payments) and AI model providers (currently DeepSeek; optionally Anthropic). Your use may also be subject to their terms. We are not responsible for third-party services, and their availability or changes may affect the Service.

11. Warranties disclaimer

The service and all outputs are provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, title and non-infringement, to the maximum extent permitted by law. We do not warrant that the service will be uninterrupted, error-free, secure, or that outputs will be accurate or reliable.

12. Limitation of liability

To the maximum extent permitted by law, we and our operators, officers and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, goodwill or business, arising out of or related to the service or any output, even if advised of the possibility. Our total aggregate liability for all claims relating to the service is limited to the greater of (a) the amount you paid us in the 12 months before the event giving rise to the claim, or (b) EUR 100.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law — including, for consumers, mandatory rights and remedies under Czech and EU consumer law (and equivalent mandatory protections in your country of residence), and liability for death or personal injury caused by negligence, fraud, or wilful misconduct.

13. Indemnification

To the extent permitted by law, you agree to indemnify and hold us harmless from any third-party claims, damages, liabilities and reasonable costs (including legal fees) arising from your breach of these Terms, your misuse of the Service, your content, or your reliance on or distribution of any output. This does not apply to consumers where prohibited by mandatory law.

14. Termination

You may stop using the Service and delete your account at any time in the app (this deletes your data per our Privacy Policy). We may suspend or terminate access for breach of these Terms or to comply with law. Sections that by their nature should survive termination (including §§5, 9, 11, 12, 13, 15) survive.

15. Governing law & disputes

These Terms are governed by the laws of the Czech Republic, without regard to conflict-of-laws rules. If you are a consumer, you also keep the protection of the mandatory laws of your country of residence.

Informal resolution first: please email info@havetheidea.com and give us 30 days to resolve any dispute before starting formal proceedings.

Disputes not resolved informally are subject to the courts of the Czech Republic. EU consumers may also use the EU ODR platform (ec.europa.eu/odr) or the Czech Trade Inspection Authority (ČOI, coi.cz). Where permitted by applicable law and to the extent you are not a consumer protected by mandatory rules, you and we agree that disputes will be resolved individually and you waive any right to participate in a class, collective or representative action. 16. General

Changes: we may update these Terms; material changes will be announced by email or in the app at least 14 days before they take effect, and continued use after that means acceptance. Severability: if any provision is unenforceable, the rest remain in effect. Entire agreement: these Terms, the Privacy Policy and Refund Policy are the entire agreement between us. Assignment: you may not assign these Terms; we may assign them to a successor. No waiver: our failure to enforce a right is not a waiver. Force majeure: we are not liable for failures caused by events beyond our reasonable control. Language: the English version prevails if translated.
